MERGERS AND ACQUISITIONS

Energy (U.S.)

Client:	BPL Global is a smart grid technology company dedicated to leading the transformation of energy and information delivery.
Transaction:	Acquisition of transformer monitor provider Serveron. Serveron offers on line transformer monitoring products as well as diagnostic services that are critical to utilities in improving grid reliability. Chart Group Advisors was retained to assist management with the purchase of the division, structure of the transaction, and negotiations with the seller.

Industrial (Sweden)

Client:	Coors Family Trusts.
Transaction:	Chart advised the Coors Family Trusts on the acquisition of the Fiskeby Paper Mill of Norrköping, Sweden from Graphic Packaging International. Chart Group Advisors partnered with Erneholm & Haskel to provide acquisition advice, project financing, and assistance in the negotiations and documentation of agreements leading to closing.

Telecommunications (U.S.)

Client:	SeaMobile, Inc., a leading global provider of advanced at-sea wireless voice, data, and Internet communications services.
Transaction:	Acquisition of Maritime Communications Network, Inc. (MTN), the leading provider of satellite-based broadband communications and networking services for the maritime industry. Chart Group Advisors advised SeaMobile on all aspects of the transaction, including the private placement of debt and equity securities in the combined company. The Chart Group also invested in the equity of SeaMobile through Chart Capital Partners.

Client:	BCN Telecom, a long distance reselling subsidiary of a large public utility that needed to refocus on its core business.
Transaction:	Chart was retained to assist management with the purchase of the subsidiary. We identified several financial sponsors who competed for selection by management, devised the structure of the transaction, and assisted in negotiations with both seller and financial sponsors.

Consumer Products (U.K. & India/U.S.)

Client:	The Tetley Group, a subsidiary of India's Tata Tea Ltd. Headquartered in the United Kingdom, Tetley is a global tea company seeking to build its presence in U.S. specialty tea.
Transaction:	Acquisition of Good Earth Tea, a California-based specialty tea company. Chart initiated and advised on all aspects of the transaction, and assisted in the negotiations and documentation of agreements leading to closing.

Defense/Homeland Security (U.S.)

Client:	Horne Engineering Services, Inc. a premier provider of engineering, scientific and technological support services to the U.S. Department of Defense and other governmental and commercial contractors seeking expansion and access to public capital markets via reverse merger with Spectrum Sciences & Software Holdings Corp., a publicly-traded competitor.
Transaction:	Chart was retained to advise on all aspects of the merger transaction and assisted in the negotiations and documentation of agreements leading to closing.

Media (U.S.)

Client:	Outside management group with record of successful science-related magazine turnaround projects.
Transaction:	We advised on the outside management group's acquisition of Natural History Magazine from the American Museum of Natural History. Chart Group Advisors prepared financing discussion materials, assisted in due diligence on the target, created extensive financial models for operational and valuation purposes, and assisted in the negotiations and documentation of agreements.

STRATEGIC ADVISORY ASSIGNMENTS

Energy (Papua New Guinea)

Client:	Petromin PNG Holdings, a Papua New Guinea government-owned company that holds and manages the State’s interest in mining and petroleum development projects.
Transaction:	Chart Group Advisors provided an independent valuation analysis of a publicly-traded acquisition target on behalf of the client, including valuation of the target’s operating business and its oil and gas reserves.

Energy (U.S.)

Client:	Ariel Corporation, largest manufacturer of gas compressors (75% world market share) seeking to diversify out of its single, highly profitable line of business.
Transaction:	Retained to analyze vertical and horizontal business opportunities, we created and funded a gas gathering business with management of the client. Chart Group Advisors advised on all phases of the startup, including the formation and capitalization of the partnership, the purchase of the gas properties and advised on the structuring of transactions with subsequent financial and industry partners.

Industrial (France)

Client:	Publicly-traded leader in a French manufacturing sector confronting unsolicited takeover moves by a minority U.S. shareholder.
Transaction:	Chart was retained to advise on strategic alternatives and valuation and to assist in negotiations with the shareholder as well as recapitalization steps.

Financial Institution Investment Analysis (U.S./Europe)

Client:	Top five global insurance company.
Transaction:	Chart was retained to analyze the company’s investment program with respect to private equity. The client is one of the largest investors worldwide in private equity.

Financial Institution Strategic Defense Planning (U.S.)

Client:	Top five global asset management company.
Transaction:	Several closed-end funds traded on the NYSE and managed by the client were raided by a $18 billion college endowment. Chart and company counsel analyzed trading and filing actions by the endowment and led negotiations which resulted in the endowment’s decision to cease and desist.

Consumer Products (U.S.)

Client:	Multinational, privately-held consumer products/beverage company with approximately $450 million in sales.
Transaction:	Long-term engagement to provide comprehensive strategic and financial advice including optimal recapitalization structures, strategic alternatives proposals, acquisition searches and management retention guidance.

RESTRUCTURINGS, RECAPITALIZATIONS & CAPITAL RAISING

Energy (U.S)

Client:	Basic Materials, a Denver, Colorado based investment company targeting small to medium-sized companies in the natural resources and related service industries.
Transaction:	Chart Group Advisors arranged the equity and debt financing for the leveraged buyout of Laney Directional Drilling, a leading provider of horizontal directional drilling services to the pipeline construction market.

Defense/Homeland Security (U.S)

Client:	Publicly-traded defense contractor, a leading provider of armor solutions, architectural hardening, and tactical training for the defense and homeland security markets, as well as commercial customers.
Transaction:	Comprehensive strategic and financial advisory engagement. Chart advised on the company’s recapitalization and provided mergers and acquisitions guidance.

Financial Institutions (U.S.)

Client:	Privately held securities exchange
Transaction:	Chart Group Advisors raised the first round of equity capital for the company in a two-tranche private placement with investors in the U.S. and Middle East.

Energy (Middle East)

Client:

Katana Energy International, an oil and gas exploration/production business, with unique drilling expertise.

Transaction:

Working with its Kuwaiti affiliates, Chart helped in the formation of Katana Energy International and raised the first outside capital for the new business. KEI’s parent is Blade Energy, a drilling engineering firm which acts as consultant to most of the super-majors and Gulf Cooperation Council sovereigns. KEI will use the expertise developed by Blade but will take ownership positions in its projects.

Life Sciences Capital Raise (U.S./United Kingdom)

Client:	Napo Pharmaceuticals, Inc., a U.S. based life sciences company listed on the London Stock Exchange.
Transaction:	Chart Group Advisors raised new equity capital for the company in a two tranche private placement with investors in the U.S., Europe and the Middle East.

Consumer Products (U.S.)

Client:	Privately-held beverage/consumer products company with approximately $500 million in sales.
Transaction:	Chart Group Advisors was retained to advise on the company's prospective initial public offering.

Financial Services, Hotels & Real Estate (Middle East)

Client:	Publicly-traded, Kuwait-based holding company with major strategic holdings in banking, hotels and real estate.
Transaction:	Chart Group Advisors was retained to advise on obtaining access to international bank markets.

Transportation Capital Raise (U.S./Middle East)

Client:

U.S. Helicopter is the only scheduled helicopter airline in the United States and provides an efficient and cost effective alternative to existing transportation problems, by initiating scheduled "short-hop" helicopter service into and around metropolitan areas utilizing new dual engine, dual engine, dual engine, dual pilot rotorcraft.

Transaction:

Chart Group Advisors retained to raise equity capital for expansion projects. Chart Group Advisors prepared discussion and offering materials, contacted strategic private equity investors, conducted extensive presentations and managed negotiations resulting in the commitments of leading investors from the Gulf Cooperation Council (GCC) region in the Middle East to invest equity capital in the company.

Telecommunications Capital Raise (U.S./Middle East)

Client:

BPL Global is a leading worldwide provider of "Smart Grid" utility applications and broadband services over standard power/electricity lines.

Transaction:

Chart Group Advisors was retained to raise equity capital for expansion projects and to arrange a joint venture with a strategic partner to expand operations in the Middle East. Chart Group Advisors prepared and conducted extensive presentations and managed negotiations resulting in the commitment to leading investors from the Gulf Cooperation Council (GCC) region in the Middle East to invest equity capital in the Company and establish a joint venture in the Middle East.

Energy Capital Raise (U.S.)

Client:

Optigas Inc., natural gas gathering, processing and marketing company with existing gathering systems in East Texas and Louisiana.

Transaction:

Chart Group Advisors was retained to raise equity capital for expansion projects. Chart Group Advisors prepared discussion materials and a private placement memorandum, contacted prospective private equity investors, conducted extensive presentations and managed negotiations resulting in the commitment of a leading private equity group to invest up to $200 million in equity capital in the company, with an initial closing of $30 million.

Client:	Leading independent French oil company in exploration and production.
Transaction:	Chart valued, structured and advised regarding the sale of the business.
